1. Definitions

• "Service" refers to AI integration training programs and related facilitation services provided by Sao Minh.
• "We / Us / Our" refers to Sao Minh, operating from Da Nang, Vietnam.
• "You / User" refers to any individual or organization accessing this website or engaging with our Services.
• "Content" refers to all materials, documents, guides, and resources produced as part of our programs.
• "Agreement" refers to these Terms and Conditions as updated from time to time.

2. Acceptance of Terms

By using our website, submitting an enquiry, or enrolling in a Sao Minh program, you confirm that you are at least 18 years of age, have the legal capacity to enter into this Agreement, and accept these Terms and Conditions in full.

If you are entering into this Agreement on behalf of an organization, you confirm that you have the authority to bind that organization to these terms.

3. Service Description

Sao Minh provides AI integration training programs for organizations based in or operating within Vietnam. Our current programs include:

• AI Ethics and Responsible Use Training (4-session program)
• AI-Assisted Productivity Bootcamp (5-week program)
• AI Innovation Lab Setup and Facilitation (14-week engagement)

Program availability is subject to scheduling and capacity. We reserve the right to modify program structure, content, or delivery format to reflect current best practices in AI development and responsible use.

4. User Responsibilities

When engaging with our website or programs, you agree to:

• Provide accurate information when submitting enquiries or registering for programs
• Participate in programs in a respectful and constructive manner
• Not share program materials externally without prior written permission
• Not use information or materials gained through our programs in ways that violate applicable law or cause harm to others
• Notify us promptly if any information you have provided changes

5. Intellectual Property

All website content, program materials, frameworks, methodologies, and documentation produced by Sao Minh remain our intellectual property unless otherwise agreed in writing.

Upon completion of a program, client organizations receive a non-exclusive, non-transferable license to use the specific deliverables produced for them (such as policy drafts and lab manuals) for their internal organizational purposes.

You may not reproduce, redistribute, or commercialize our materials without prior written consent.

Content you bring to programs (such as your organization's internal documents used during exercises) remains your property.

6. Payment Terms

Program fees are quoted in Vietnamese Đồng (₫). Current pricing:

• AI Ethics and Responsible Use Training: 5.000.000 ₫
• AI-Assisted Productivity Bootcamp: 11.200.000 ₫
• AI Innovation Lab Setup and Facilitation: 25.000.000 ₫

Payment terms are confirmed at the time of engagement agreement. Invoices are issued in advance of program commencement. We accept bank transfer. Programs begin upon receipt of payment unless otherwise agreed.

Cancellation and refunds: Cancellations made more than 14 days before program commencement are eligible for a full refund. Cancellations within 14 days of commencement are not eligible for refund, though rescheduling may be arranged at our discretion.

7. Service-Specific Terms

Program scope: The scope, duration, and format of each program are confirmed in writing prior to commencement. Changes to scope requested during delivery will be assessed on a case-by-case basis and may affect timelines or fees.

Participant numbers: Maximum participant numbers per program are established at booking. Additional participants above agreed limits require prior discussion.

Program materials: All materials referenced in program descriptions are included in the program fee unless explicitly stated otherwise.

8. Disclaimers

Our programs are provided in good faith and based on current knowledge and practice in AI tools and responsible use. We do not represent that participation in our programs will produce specific business outcomes, as these depend on organizational factors outside our control.

Website content is provided for informational purposes. It does not constitute legal, technical, or regulatory advice.

The AI tools referenced in our programs are third-party products. We are not responsible for changes to those tools, their availability, or their terms of use.

9. Limitation of Liability

To the extent permitted by applicable law, Sao Minh's total liability to you for any claim arising from our services shall not exceed the fees paid for the specific program to which the claim relates.

We are not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunity, arising from use of our services or website.

10. Indemnification

You agree to indemnify and hold harmless Sao Minh and its team members from any claims, losses, or expenses arising from your breach of these Terms, your use of our website, or your misuse of program materials or deliverables.

11. Termination

Either party may terminate a service agreement with written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of notification.

We reserve the right to suspend website access to any user who engages in prohibited conduct.

12. Dispute Resolution

These Terms are governed by the laws of the Socialist Republic of Vietnam. Any disputes arising from these Terms or our services will first be subject to good-faith negotiation between the parties. If unresolved, disputes will be referred to the competent courts in Da Nang, Vietnam.

13. General Provisions

• Entire agreement: These Terms constitute the entire agreement between us regarding website use. Service engagements are governed by these Terms alongside any written engagement agreement.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
• No waiver: Failure to enforce any provision does not constitute a waiver of our rights.
• Assignment: You may not assign your rights under these Terms without our written consent.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
